This helps facilitate faster and more efficient consideration of the application.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">Project Approval Process<\/h2>\n\n\n\n<p>After the project clarification is completed, BOI officers will prepare a summary report and submit it for consideration by the <strong>Subcommittee or the Board of Investment<\/strong>, depending on the project\u2019s investment value.<\/p>\n\n\n\n<p>The approval process is typically completed within <strong>40\u201390 working days<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">Project Approval Criteria<\/h2>\n\n\n\n<p>To be eligible for investment promotion, a project must comply with the BOI\u2019s approval criteria. Details are available at:<br><a href=\"https:\/\/www.boi.go.th\/index.php?page=criteria_for_project_approval2\">https:\/\/www.boi.go.th\/index.php?page=criteria_for_project_approval2<\/a><\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">Consolidation of Promotion Certificates<\/h2>\n\n\n\n<p>When a promoted investor operates <strong>multiple projects<\/strong>, whether promoted or non-promoted, the use of investment incentives must be <strong>strictly limited to each promoted project only<\/strong>.<\/p>\n\n\n\n<p>For example:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Separate income and expense accounts must be maintained for each project<\/li>\n\n\n\n<li>This ensures accurate calculation of net profits eligible for corporate income tax exemption<\/li>\n<\/ul>\n\n\n\n<p>Once the tax incentive period for each promoted project has ended, the investor <strong>may apply to consolidate multiple promoted projects<\/strong> for more efficient internal management.<\/p>\n\n\n\n<p>However, it should be noted that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Each promoted project may receive different incentives<\/li>\n\n\n\n<li>Incentive periods may begin and end at different times<\/li>\n\n\n\n<li>Benefits under each Promotion Certificate may be used <strong>only for the specific project to which they apply<\/strong><\/li>\n<\/ul>\n\n\n\n<p>As a result, investors with multiple promoted projects must strictly control the use of incentives on a project-by-project basis. This can create administrative burdens in terms of personnel, time, and cost.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">Guidelines for Consolidating Promotion Certificates<\/h2>\n\n\n\n<p>Investors may apply to consolidate <strong>two or more Promotion Certificates<\/strong> in order to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Reduce administrative burden related to incentive management<\/li>\n\n\n\n<li>Improve efficiency in the utilization of machinery across projects<\/li>\n<\/ul>\n\n\n\n<p>The general conditions for approval are:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>The projects should be fully operational, and<\/li>\n\n\n\n<li>The corporate income tax incentive period should have already ended<\/li>\n<\/ol>\n\n\n\n<p>If an investor wishes to consolidate projects that are <strong>not yet fully operational<\/strong> or whose <strong>tax incentives have not yet expired<\/strong>, consolidation may still be permitted. However, the investor must agree to <strong>relinquish incentives<\/strong>, leaving only those equivalent to the project with the <strong>least favorable benefits<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">Consolidation of Raw Material Stock Accounts<\/h2>\n\n\n\n<p>In addition to project consolidation, promoted investors may request to <strong>consolidate raw material inventory accounts<\/strong> across projects <strong>without consolidating Promotion Certificates<\/strong>.<\/p>\n\n\n\n<p>This approach helps reduce the administrative burden related to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Import duty incentives<\/li>\n\n\n\n<li>Raw material usage control<\/li>\n\n\n\n<li>Inventory write-off and accounting for each individual project<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Transfer and Acceptance of a BOI-Promoted Business<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\">How does the transfer and acceptance of a promoted business work?<\/h3>\n\n\n\n<p>When a BOI-promoted investor <strong>transfers or sells a promoted business<\/strong> to another party, the existing Promotion Certificate may continue to be used <strong>for no longer than three (3) months<\/strong> from the date of transfer or sale.<\/p>\n\n\n\n<p>If the transferee wishes to continue operating the promoted business <strong>under the terms and conditions specified in the Promotion Certificate<\/strong>, the transferee must submit an application to the BOI to <strong>accept the transfer of the promoted business<\/strong>. Upon approval, the BOI will grant the transferee the <strong>remaining incentives<\/strong> under the original project.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">Procedures for Business Transfer and Acceptance<\/h2>\n\n\n\n<p>The transfer and acceptance of a promoted business are subject to the following procedures and consideration guidelines:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li><strong>Application for Transfer<\/strong><br>The transferee must submit an application for investment promotion to accept the transfer of the business (Form No. <strong>F PA PC 17<\/strong>).<br>The application must include:\n<ul class=\"wp-block-list\">\n<li>A letter of intent from the transferor, and<\/li>\n\n\n\n<li>An investment promotion application from the transferee<br>These documents must be submitted <strong>simultaneously<\/strong>.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li><strong>Timing of the Application<\/strong><br>The application for business transfer should be submitted <strong>before the actual transfer takes place<\/strong>.<br>If the business has already been transferred prior to submitting the application, the existing Promotion Certificate will expire <strong>within three (3) months<\/strong> from the transfer date, which may result in the certificate expiring before approval is granted.<\/li>\n\n\n\n<li><strong>Rights and Obligations After Approval<\/strong><br>If the transfer is approved, the transferee will receive <strong>only the remaining incentives<\/strong> under the original project and must strictly comply with <strong>all original conditions<\/strong> specified in the Promotion Certificate.<\/li>\n\n\n\n<li><strong>Liability for Non-Compliance<\/strong><br>After the transfer, if it is later discovered that any conditions of the Promotion Certificate were violated\u2014whether the violation occurred <strong>before or after the transfer<\/strong>\u2014and such violation results in partial or full revocation of tax incentives, <strong>the transferee will be fully responsible for all related tax liabilities<\/strong>.<\/li>\n\n\n\n<li><strong>Scope of Transfer<\/strong><br>The transfer may involve:<ul><li>The entire Promotion Certificate, or<\/li><li>Only part of the promoted project<\/li><\/ul>For example, if a promoted project produces Products A and B, the investor may apply to transfer <strong>only Product B<\/strong>. Each case will be considered <strong>on a case-by-case basis<\/strong>.<\/li>\n<\/ol>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">Key Precautions for Transferees<\/h2>\n\n\n\n<ol class=\"wp-block-list\">\n<li><strong>Comprehensive Due Diligence Required<\/strong><br>Since the transferee will bear <strong>full tax liability<\/strong> for any non-compliance\u2014regardless of whether it occurred before or after the transfer\u2014the transferee should conduct a <strong>thorough review of the project\u2019s compliance status<\/strong> prior to accepting the transfer.<\/li>\n\n\n\n<li><strong>Raw Material Transfer Considerations<\/strong><br>If the transferee accepts only part of the raw materials imported under import duty exemption\u2014or does not accept them at all\u2014resulting in remaining raw materials with the transferor, the transferor must properly manage and settle the remaining raw material quantities <strong>in accordance with BOI regulations<\/strong> before submitting the transfer application.<\/li>\n<\/ol>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">Practical Example<\/h2>\n\n\n\n<p>Company <strong>A<\/strong> intends to accept the transfer of a <strong>garment manufacturing business<\/strong> from Company <strong>B<\/strong>.<br>After reviewing Company B\u2019s assets, Company A agrees to purchase:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>All assets, including <strong>10 machines<\/strong>\u0e41\u0e25\u0e30<\/li>\n\n\n\n<li>All raw materials (fabric) listed in the asset account, totaling <strong>100,000 yards<\/strong><\/li>\n<\/ul>\n\n\n\n<p>However, BOI records indicate that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Company B originally imported <strong>12 machines<\/strong> using import duty exemption, and<\/li>\n\n\n\n<li>Imported <strong>250,000 yards of fabric<\/strong>, for which export evidence has <strong>not yet been submitted<\/strong> to close the BOI raw material account<\/li>\n<\/ul>\n\n\n\n<p>In this case, the BOI will deem that <strong>Company A has accepted the transfer of all machines and raw materials listed in the BOI accounts<\/strong>, and Company A will therefore be responsible for <strong>all related tax liabilities<\/strong>.<\/p>\n\n\n\n<p>If it is later discovered that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>2 machines<\/strong> were sold domestically, and<\/li>\n\n\n\n<li><strong>150,000 yards of fabric<\/strong> were used to manufacture goods sold domestically<\/li>\n<\/ul>\n\n\n\n<p>Such actions constitute <strong>non-compliance with BOI incentive conditions<\/strong>. The BOI will determine that the <strong>current promoted investor (Company A)<\/strong> is responsible for all related tax liabilities, regardless of when the violations occurred.<\/p>\n\n\n\n<p>In this situation, the BOI will notify the <strong>Customs Department<\/strong> to proceed with tax assessment and collection from Company A as the transferee of the promoted business.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">Business Merger, Incentive Management, and Land Ownership under BOI Regulations<\/h1>\n\n\n\n<h2 class=\"wp-block-heading\">Business Merger<\/h2>\n\n\n\n<p>When <strong>Company A and Company B merge<\/strong> into a single company\u2014regardless of whether the new entity uses the name <strong>A, B, or C<\/strong>\u2014the merged entity is considered a <strong>new legal entity<\/strong> under Thai law, separate from the original companies prior to the merger.<\/p>\n\n\n\n<p>As a result, the <strong>BOI Promotion Certificates of Company A and Company B will expire within three (3) months<\/strong> from the effective date of the merger.<\/p>\n\n\n\n<p>If the newly established company resulting from the merger wishes to continue enjoying investment promotion for the original projects of Company A and Company B, it must <strong>apply to accept the transfer of those promoted businesses<\/strong>, in the same manner as a standard business transfer.<\/p>\n\n\n\n<p>If the company expected to result from the merger (<strong>Company C<\/strong>) has <strong>not yet been incorporated<\/strong> at the time of application, the application may be submitted <strong>in the name of an individual<\/strong>, provided that the <strong>intended company name is clearly specified<\/strong> in the application.<\/p>\n\n\n\n<p>Company C must submit an application for investment promotion to accept the transfer of the existing promoted businesses. The BOI will consider granting <strong>only the remaining incentives<\/strong> under the original projects.<\/p>\n\n\n\n<p>The procedures and consideration criteria for accepting a transfer in the case of a merger are <strong>identical to those applicable to normal business transfer cases<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">Important Considerations for Business Mergers<\/h2>\n\n\n\n<p>Applications for investment promotion related to a merger <strong>must be submitted before the merger becomes legally effective<\/strong>.<\/p>\n\n\n\n<p>Corporate income tax exemption on profits derived from the merged business will apply <strong>only from the date the BOI approves the promotion<\/strong> related to the merger.<\/p>\n\n\n\n<p>If the application is submitted <strong>after the merger has already taken effect<\/strong>, or approval is granted at a later date, income earned during the interim period\u2014from the merger date until the day before approval\u2014<strong>will not be eligible for corporate income tax exemption<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">Management of Rights and Benefits When Cancelling a Promotion Certificate<\/h2>\n\n\n\n<p>A promoted investor may request <strong>cancellation of a Promotion Certificate at any time<\/strong>. All guarantees, protections, and incentives will terminate <strong>on the date the BOI approves the cancellation<\/strong>.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Machinery and Raw Materials<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>If machinery and raw materials were imported under <strong>import duty exemption or reduction<\/strong>, and the Promotion Certificate is later cancelled:\n<ul class=\"wp-block-list\">\n<li>Machinery that has been in use for <strong>more than five (5) years<\/strong> from the import date will <strong>not be subject to import duty<\/strong>, provided BOI procedures are followed.<\/li>\n\n\n\n<li>Imported raw materials must either:\n<ul class=\"wp-block-list\">\n<li>Have import duties paid in full, or<\/li>\n\n\n\n<li>Be exported out of Thailand, in accordance with BOI regulations.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Foreign Juristic Persons and Land Ownership<\/h3>\n\n\n\n<p>If the promoted investor is a <strong>foreign juristic person<\/strong> and has exercised BOI-granted rights to own land, the land <strong>must be disposed of within one (1) year<\/strong> from the date the Promotion Certificate cancellation is approved.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">Revocation of Promotion Certificates<\/h2>\n\n\n\n<p>If a promoted investor fails to comply with <strong>material conditions<\/strong> of investment promotion\u2014such as:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Total investment (excluding land and working capital) falling below <strong>THB 1 million<\/strong>, or<\/li>\n\n\n\n<li>Production processes deviating from those approved, resulting in project value-added falling below prescribed thresholds<\/li>\n<\/ul>\n\n\n\n<p>The BOI may <strong>revoke the Promotion Certificate<\/strong>.<\/p>\n\n\n\n<p>In the event of revocation:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>All incentives may be withdrawn <strong>retroactively<\/strong>, as if the promotion had never been granted<\/li>\n\n\n\n<li>The investor will be required to pay:\n<ul class=\"wp-block-list\">\n<li>Backdated import duties on machinery and raw materials (based on their condition at the time of import)<\/li>\n\n\n\n<li>Surcharges and penalties<\/li>\n\n\n\n<li>Backdated corporate income tax and value-added tax (VAT)<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">Land Ownership by Companies with Foreign Shareholders<\/h2>\n\n\n\n<p>Under the <strong>Land Code B.E. 2508 (1965)<\/strong>, only:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Thai nationals, and<\/li>\n\n\n\n<li>Thai juristic persons with <strong>at least 51% Thai shareholding<\/strong><\/li>\n<\/ul>\n\n\n\n<p>are generally permitted to own land in Thailand.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Exception under the Investment Promotion Act<\/h3>\n\n\n\n<p>Foreign companies (with Thai shareholding <strong>below 51%<\/strong>) that receive BOI promotion under the <strong>Investment Promotion Act B.E. 2520 (1977)<\/strong> may be granted land ownership rights under <strong>Section 27<\/strong> for the purpose of operating promoted businesses.<\/p>\n\n\n\n<p>Such land may be used to construct:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Factory buildings<\/li>\n\n\n\n<li>Office buildings<\/li>\n\n\n\n<li>Employee housing<\/li>\n<\/ul>\n\n\n\n<p>provided that all structures are located <strong>within the same area as the factory<\/strong>.<\/p>\n\n\n\n<p>The land must be used <strong>exclusively for the promoted activity<\/strong>.<\/p>\n\n\n\n<p>If the promoted business ceases operations, the land must be disposed of <strong>within one (1) year<\/strong> from the cessation date.
